By creating an account or using The Data Room, you agree to these terms. If you are using the service on behalf of an organization, you are agreeing on that organization's behalf.
The Data Room provides a platform for creating shared spaces where documents can be exchanged and collaborated on between people from different organizations. We are in early development. Features may change, and the service is provided as-is while we build.
You own the content you upload. By uploading it, you grant us a limited license to store, process, and display it for the purpose of providing the service to you and the people you share it with. We do not claim any ownership over your documents.
You are responsible for ensuring you have the right to share any content you upload. Do not upload content that is unlawful, infringes third-party rights, or that you are not authorized to share.
You are responsible for keeping your account credentials secure. Space owners control who has access to their spaces and what those people can see and do. Access can be revoked at any time. Recipients access spaces under the terms set by the space owner.
You may not use the service to distribute malware, conduct phishing, harass people, or engage in any activity that is illegal or harmful. We reserve the right to suspend accounts that violate these terms without notice.
The AI Q&A feature is provided to help recipients understand document content. Answers are generated from the documents in the space and may not always be complete or accurate. Do not rely on AI-generated answers for legal, financial, or medical decisions.
We aim to keep the service available but do not guarantee uptime. We may perform maintenance, make changes, or temporarily suspend the service. We will provide reasonable notice for planned downtime where possible.
To the extent permitted by law, The Data Room is not liable for any indirect, incidental, or consequential damages arising from your use of the service, including loss of data or business interruption. Our total liability for any claim is limited to the amount you paid us in the three months prior to the claim.
You may close your account at any time by contacting us. We may suspend or terminate accounts that violate these terms. On termination, your content will be deleted within 30 days.
We may update these terms as the service evolves. We will notify active users of material changes by email. Continued use after notice constitutes acceptance.
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
